You agree to notify EZShift immediately of any unauthorized use of your account or any other breach of security. EZShift will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by EZShift or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.

You may not attempt to gain unauthorized access to any EZShift Site/Service, other accounts, computer systems or networks connected to any EZShift Site/Service, through hacking, password mining or any other means. ‍The EZShift Sites/Services contains message or communication facilities designed to enable you to communicate with others in your place of employment (collectively, "Communication Services"). EZShift has no obligation to monitor the Communication Services. However, EZShift reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. EZShift reserves the right to terminate your access to any or all of the Communication Services at any time, without notice, for any reason whatsoever. EZShift reserves the right at all times to disclose any information as EZShift deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in EZShift 's sole discretion. Your use of the Software is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). For any Software not accompanied by a license agreement, EZShift hereby grants to you, the user, a revocable personal, non-transferable license to use the Software for viewing and otherwise using the particular EZShift Site/Service in accordance with these Terms of Use, and for no other purpose provided that you keep intact all copyright and other proprietary notices. Any reproduction or redistribution of the content and/or Software is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible. WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE CONTENT OR SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. You acknowledge that the Software, and any accompanying documentation and/or technical information, is subject to applicable export control laws and regulations of the state of Israel. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE EZSHIFT SITES/SERVICES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE EZSHIFT SITES/SERVICES.

‍STORAGE SPACE AND OTHER LIMITATIONS

‍The amount of storage space per user is limited for each EZShift Site/Service which provides such storage, please visit the EZShift web site for more information. Some messages may not be processed due to space constraints or outbound message limitations. You agree that EZShift is not responsible or liable for the deletion or failure to store messages or other information.

‍TERMINATION/ACCESS RESTRICTION

‍EZShift reserves the right, in its sole discretion, to terminate your access to any or all EZShift Sites/Services and the related services or any portion thereof at any time, without notice. Upon termination of the EZShift Site/Service, your right to use the EZShift Site/Service immediately ceases. EZShift shall have no obligation to maintain any content or to forward any unread or unsent messages to you or any third party.

‍GENERAL

This agreement is governed by the laws of the State of Israel. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Tel Aviv, Israel in all disputes arising out of or relating to the use of the EZShift Sites/Services. Use of the EZShift Sites/Services is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions without limitation this paragraph. You agree that no joint venture, partnership, employment, or agency relationship exists between you and EZShift as a result of this agreement or use of the EZShift Sites/Services. You agree to indemnify and hold EZShift, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the EZShift Sites/Services. EZShift reserves the right to disclose any personal information about you or your use of the EZShift Sites/Services its contents, without your prior permission if EZShift has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of EZShift or its affiliated companies; (3) enforce the terms or use; or (4) act to protect the interests of its members or others. EZShift 's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of EZShift 's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the EZShift Sites/Services or information provided to or gathered by EZShift with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and EZShift with respect to the EZShift Sites/Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and EZShift with respect to the EZShift Sites/Services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
